1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BizSphere LLC ("BizSphere," "we," "our," or "us"). These Terms govern your access to and use of our websites, applications, and all related services, including but not limited to Karobar, myBisnis, Karbar, Sokobook, and Kwenta Pro (collectively, the "Services").
By using our Services you confirm that you have read, understood, and agree to these Terms, and that you have the legal authority to enter into this agreement on behalf of yourself or the organisation you represent.
2. Description of Services
BizSphere provides cloud-based business management software designed for small and medium enterprises in emerging markets. Our Services include:
- Accounting and bookkeeping tools
- Inventory and stock management
- Invoicing and billing features
- Financial reporting and analytics
- Customer and supplier management
We reserve the right to modify, update, or discontinue any feature or aspect of our Services at any time, with reasonable prior notice where practicable.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding contract
- Not be barred from receiving services under applicable law
- Use the Services for lawful business purposes only
By registering, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To access most features of our Services, you must create an account. You agree to provide accurate, current, and complete registration information and to keep it updated.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

- Not share your login credentials with unauthorised persons
- Notify us immediately at contact@bizsphere.info if you suspect any unauthorised access to your account
- Log out of your account when using shared or public devices
BizSphere will not be liable for any loss or damage arising from your failure to comply with these security obligations.
4.3 Team and Multi-User Accounts
If you grant access to additional users within your organisation, you are responsible for their compliance with these Terms and for all actions they take through your account.
5. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services for any illegal purpose, including tax evasion, money laundering, or fraud
- Upload or transmit viruses, malware, or any other malicious code
- Attempt to gain unauthorised access to any part of our Services or infrastructure
- Reverse engineer, decompile, or disassemble any part of our software
- Scrape, harvest, or collect data from our Services without authorisation
- Impersonate any person or entity or misrepresent your affiliation
- Interfere with or disrupt the integrity or performance of our Services
- Use our Services to send unsolicited commercial communications (spam)
- Resell or sublicense the Services without our prior written consent
- Use the Services in any way that violates applicable laws, regulations, or third-party rights
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.
6. Intellectual Property Rights
6.1 Our Intellectual Property
All content, software, features, functionality, trademarks, service marks, and brand names appearing in or associated with our Services — including but not limited to "BizSphere," "Karobar," "myBisnis," "Karbar," "Sokobook," and "Kwenta Pro" — are the exclusive property of BizSphere LLC or its licensors and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes, subject to these Terms. This licence does not include the right to copy, modify, create derivative works of, or distribute our proprietary software or content.
6.2 Your Content and Data
You retain full ownership of all business data, financial records, and content that you input into our Services ("Your Data"). By using our Services, you grant BizSphere a limited, non-exclusive licence to process Your Data solely to provide and improve the Services, as described in our Privacy Policy.
6.3 Feedback
If you submit suggestions, ideas, or feedback about our Services, you grant us an irrevocable, worldwide, royalty-free licence to use such feedback for any purpose without compensation to you.
7. Payment and Subscriptions
7.1 Pricing
Our Services may be offered on a subscription basis with pricing plans displayed within each product. All prices are listed in the relevant local currency and are inclusive of applicable taxes unless otherwise stated.
7.2 Billing
Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. You authorise us (or our payment processor) to charge your designated payment method at the applicable rate at the start of each billing period.
7.3 Free Trials
Where we offer a free trial, no payment is required during the trial period. If you do not cancel before the trial ends, you will be automatically charged at the applicable subscription rate.
7.4 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you will retain access until that date. We do not provide refunds for partial billing periods, except where required by applicable consumer protection laws in your jurisdiction.
7.5 Price Changes
We may change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.
8. Data Ownership and Privacy
Your business data is yours. We will not access, use, or disclose your business data except to provide and improve the Services, as described in our Privacy Policy, or as required by law.
Upon termination of your account, you may request an export of your data within 30 days. After this period, we may delete your data from our systems.
9. Service Availability and Uptime
We strive to maintain high availability of our Services, but we do not guarantee uninterrupted or error-free access. We may carry out planned maintenance with reasonable advance notice, and unexpected outages may occur.
We will not be liable for any losses arising from downtime, service interruptions, or data unavailability, except where such losses are directly caused by our negligence or wilful misconduct.
10. Third-Party Services and Links
Our Services may integrate with or contain links to third-party services, websites, or applications. BizSphere is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to those parties' terms and conditions.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, BIZSPHERE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES
Our Services are designed to assist with business management and record-keeping. They do not constitute professional accounting, legal, or financial advice. You should consult a qualified professional for advice specific to your situation.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZSPHERE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA
- ANY MATTER BEYOND OUR REASONABLE CONTROL
IN ALL CASES, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BIZSPHERE IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless BizSphere and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Services in violation of these Terms
- Your breach of any representation or warranty in these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any content or data you submit through the Services that is unlawful or infringes third-party rights
14. Termination
14.1 Termination by You
You may terminate your account at any time by following the cancellation process within your account settings or by contacting our support team.
14.2 Termination by BizSphere
We reserve the right to suspend or permanently terminate your account and access to the Services at any time, with or without notice, if we determine that:
- You have violated these Terms or our Acceptable Use Policy
- We are required to do so by law or regulatory authority
- Your account is involved in fraudulent or illegal activity
- Continued provision of the Service is no longer commercially viable (with 90 days' notice)
14.3 Effect of Termination
Upon termination, your right to access the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which BizSphere LLC is registered, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the applicable arbitration rules, or to the courts of competent jurisdiction in BizSphere's registered jurisdiction.
Notwithstanding the above, either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this document
- Notify registered users via email or an in-app notification at least 14 days before the changes take effect
Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you should stop using the Services and cancel your account before the changes take effect.
